Transactional Law Practicum
This course is designed for students who may desire to pursue a career as a transactional attorney or who otherwise may want to gain further exposure to transactional law issues. This course will (i) establish a universal, straight-forward process for analyzing any transaction or deal, (ii) examine the purpose of contract drafting and describe various drafting techniques that can be used to maximize a client’s rights while minimizing a client’s obligations, (iii) explore key contract provisions that often arise in transactions (e.g., indemnification, limitations on liability, etc.), and (iv) discuss common issues that are faced by transactional associates as they begin their legal careers. Each of these topics will be explored and examined through a series of interactive exercises and classroom discussions.

Evaluation: There will be one two hour closed book examination which will be given during the regularly scheduled examination period in May, 2017.
