Law 794: Advanced Legal Writing - Transactional Writing
Through work on a series of assignments related to a single acquisition, students will be introduced to research, analytical, and writing skills related to drafting legal documents that govern future behavior. In the course, students perform tasks commonly assigned to junior associates practicing transactional work, including drafting corporate resolutions, forming corporate entities, and completing due diligence research. In addition, students will negotiate deal terms and draft either an Asset Purchase Agreement or Stock Purchase Agreement.
Sequence and Prerequisites: Contracts and Legal Writing and Analysis are prerequisites.
Evaluation: Students will be evaluated on a series of short written assignments and a final transactional document project.
